Terms and Conditions

1. Overview

These Terms and Conditions ("Agreement") govern the provision of Done-For-You (DFY) digital marketing services ("Services") provided by Soar Marketing ("Service Provider") to the client ("Client"). By purchasing any service package, the Client agrees to these terms.

2. Scope of Services

Service Provider agrees to deliver digital marketing services as described in the selected package, including but not limited to: funnel setup, email marketing, ad campaign management, content planning, and consulting. All services are customized to the Client’s needs as outlined in the onboarding process.

3. Payment Terms

The Client agrees to pay a base fee as listed on the order form prior to project commencement. Certain packages include a performance-based fee calculated as a percentage of gross revenue attributed to Service Provider’s efforts, within a defined tracking period (e.g., 30 or 45 days). Performance fees are invoiced separately and due within 7 days of invoice date.

4. Refund Policy

Due to the custom nature of DFY services, all sales are final. No refunds will be issued once work has begun. If a project is canceled before work begins, a refund may be issued minus administrative fees, at the discretion of the Service Provider.

5. Client Responsibilities

Client agrees to provide timely access to necessary accounts, materials, and approvals. Delays in communication or asset delivery may impact project timelines and are not the responsibility of the Service Provider.

6. Timeline

Service timelines are estimates based on typical project scope. The Service Provider is not liable for delays caused by unforeseen circumstances or lack of Client response. Projects may be paused if critical assets or approvals are delayed more than 7 days.

7. Performance Tracking

Performance-based fees are tied to tracked revenue generated by the campaign or funnel created by the Service Provider. UTM parameters, unique checkout links, or platform reporting tools will be used to attribute results fairly. Tracking is limited to the agreed-upon window (e.g., 30 days from launch).

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of the engagement, including marketing strategies, logins, business data, and communications.

9. Intellectual Property

Client retains all rights to business materials provided. Service Provider retains the right to showcase non-confidential aspects of completed work (e.g., funnels, designs, strategy frameworks) for portfolio or marketing purposes unless otherwise agreed in writing.

10. Limitation of Liability

Service Provider is not liable for any indirect, incidental, or consequential damages resulting from the use or misuse of the deliverables. Maximum liability shall not exceed the total amount paid by the Client for the service package.

11. Termination

Either party may terminate this Agreement with 7 days written notice. In such cases, any work completed up to the date of termination will be billed accordingly, and any outstanding performance fees remain payable.

12. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Philippines, without regard to conflict of law principles.

13. Agreement Acceptance

By purchasing or agreeing to any DFY service package, the Client acknowledges and agrees to be bound by these Terms and Conditions.
